Amulet Capital Partners Invests in Theoria Medical to Enhance Value-Based Primary Care for Senior Living Communities

Theoria Medical, a comprehensive medical group and technology company, has recently secured an investment from Amulet Capital Partners, a middle-market private investment firm. This investment supports Theoria’s mission to deliver value-based primary care services to skilled nursing facilities and senior living communities across the United States.

Theoria Medical is a leader in tech-enabled, value-based primary care, revolutionizing healthcare for senior living communities nationwide. The company manages a national medical group offering 24/7 provider coverage and delivering clinical services to hundreds of senior living and care residential locations across 21 states. The organization’s affiliated medical groups offer multispecialty physician services, telemedicine, chronic care management, and remote patient monitoring.

The investment by Amulet Capital Partners will enable Theoria to further invest in its growth, accelerate its efforts, and expand its offerings. Justin Di Rezze, MD, founder and CEO of Theoria, will continue in his role and remain a significant shareholder in the company. Di Rezze expressed that the partnership with Amulet will allow Theoria to enhance its care delivery model, which is a unique solution in the sector that shifts the paradigm for managing healthcare services for high-acuity patients in the post-acute setting.

Theoria’s tech-enabled platform is used to deliver on-site and virtual value-based care for high-needs older adults residing in skilled nursing facilities, independent living, assisted living, and continuing care retirement communities. The company’s use of proprietary technology and population health data drives improvements in care coordination and outcomes, making it ideally positioned to address the unique needs of this patient demographic.

Amulet Capital Partners, which manages approximately $2.7 billion in assets, invests in businesses and management teams that are innovating in care delivery and expanding access to high-quality healthcare. The financial terms of the agreement include Houlihan Lokey serving as the financial adviser to Amulet, Cain Brothers as the financial adviser to Theoria, and McDermott, Will & Emery as legal counsel to Amulet.

This investment follows a strategic partnership announced earlier in 2024 between Theoria Medical and Empassion Health, a managed services organization. The partnership aims to move Theoria from a fee-for-service model to a value-based care model with the High Needs ACO REACH program. This transition will allow Theoria to focus on delivering high-quality care while reducing healthcare costs. The partnership will benefit patients by lowering out-of-pocket costs and providing additional care and supportive services not typically covered by Medicare.
